Clopay Acquires Remaining Shares of FINOTECH Joint Venture

Mason, OH - Clopay Plastic Products Company strengthens its European business with the purchase of the remaining 40% minority share of FINOTECH GmbH & Co., KG (FINOTECH) from its joint venture partner, BBA Group PLC, a leading nonwovens manufacturer, in an $82 million cash transaction.

Gary Abyad, President of Clopay Plastic Products Company, states, "The move to 100% ownership increases financial and operational flexibility enabling us to streamline our German operations and bring more value, innovation and responsiveness to our global customers. This will strengthen our core film business while creating a firm base for anticipated growth in Europe." In 2004, Clopay Plastic Products achieved record sales of $411.3 million.

Established in 1996, FINOTECH is the most modern and advanced specialty plastic film, extrusion coating and printing operation in the world. Strategically located in Aschersleben, Germany, FINOTECH serves many markets across Europe, the Middle East, Africa and Asia. The operation features high-speed, state-of-the-art, wide-web extrusion lines producing both monolayer and co-extruded films and extrusion-coated composites for hygiene, protective apparel, and industrial applications. Under the unique product and process portfolio of Clopay Plastic Products Company, technology strengths include microporous breathable, monolithic, elastomeric, and apertured products. The patented breathable and strip lamination technologies, along with a unique offering of non-breathable products, positions FINOTECH as one of Europe's biggest and most prominent extrusion facilities.

With the 2003 addition of Clopay Advanced Printing Aschersleben GmbH, a wholly-owned subsidiary of FINOTECH, the facility now showcases high-speed, wide-web/long-repeat, flexographic printing presses custom-designed with unique in-line capabilities to print films, nonwovens, paper and a variety of other substrates.
